VASCO comments on DigiNotar's Reported Security Incident
DigiNotar a wholly owned subsidiary of VASCO detected an intrusion into its Certificate Authority (CA) infrastructure on 19th July, which resulted in the fraudulent issuance of public key certificate requests for a number of domains, including Google.com.
At that time, an external security audit concluded that all fraudulently issued certificates were revoked, but recently, it was discovered that at least one fraudulent certificate had not been revoked at the time. After being notified by Dutch government organisation Govcert, DigiNotar took immediate action and revoked the fraudulent certificate.
The attack was targeted solely at DigiNotar's Certificate Authority infrastructure for issuing SSL and EVSSL certificates. No other certificate types were issued or compromised. DigiNotar stresses the fact that the vast majority of its business, including his Dutch government business (PKIOverheid) was completely unaffected by the attack.
The incident at DigiNotar has no consequences for VASCO's core authentication technology. The technological infrastructures of VASCO and DigiNotar are completely separated, meaning that there is no risk for infection of VASCO's strong authentication business.

ACI Worldwide, Inc. yesterday announced that it is commencing an exchange offer to acquire all of the outstanding shares of S1 Corporation common stock. Under the terms of the exchange offer, S1 shareholders would receive $6.20 in cash and 0.1064 ACI shares for each share of S1 they hold, assuming full proration, which as of August 29, 2011, had a blended value of $9.44 per share.
"While it remains our strong preference to enter into a negotiated transaction with S1, we believe taking our premium cash and stock offer directly to S1's shareholders is the best way to advance this compelling combination," said Philip G. Heasley, President and Chief Executive Officer of ACI. "We believe that ACI's enhanced proposal is clearly superior to and provides S1 shareholders with far greater value than the Fundtech transaction. We remain resolute in our commitment to take the steps necessary to complete this transaction."
ACI has secured committed financing from Wells Fargo Bank, N.A. for the cash portion of the transaction. The exchange offer is expected to expire at 5:00 p.m. Eastern Time on September 28, 2011, unless extended.
ACI urges shareholders to vote the BLUE proxy card AGAINST the Fundtech transaction. S1 shareholders are encouraged to read the definitive proxy materials in their entirety as they provide, among other things, a detailed discussion of ACI's superior proposal and the reasons behind the ACI recommendation that shareholders vote AGAINST the proposed Fundtech transaction.
